Over the past decade, the Netherlands have seen numerous initiatives, in particular by the government, to amend the rules governing listed and non-listed companies. The financial crisis has spurred the debate, in particular in regulated sectors such as the financial sector. We believe that Corporate Governance will remain a key topic for the corporate practice in all industries. As a result of the implementation of the Dutch Corporate Governance code as well as the promulgation of codes for not-for-profit sectors such as health care and public housing, the challenge for our clients is to comply with these requirements while safeguarding their business interests.
Meanwhile, shareholder activism has grown in the Netherlands, leading to increased corporate litigation. Although the Dutch legislator has recently implemented certain initiatives to curb this development, we believe that this type of litigation will continue to play an important role in resolving all kinds of corporate disputes, in particular with respect of distressed businesses.
